ScribeosAI LLC ("ScribeosAI," "we," "our," or "us") provides a cloud-based intelligent document processing (IDP) service that allows users to extract, validate, and synchronize financial data with accounting platforms such as QuickBooks Online. By accessing or using our website, services, or applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

1A. Definitions

Throughout these Terms, the following definitions apply:

• "Services" means ScribeosAI's cloud-based IDP platform, including web, API, and integrations
• "User" means any individual or entity that accesses or uses the Services
• "User Data" means any document, file, or information uploaded by you
• "Content" means any data, text, images, or other materials processed through our Services
• "Account" means your registered account with ScribeosAI

2. Services Description

ScribeosAI provides:

• Document processing and data extraction
• Integration with accounting platforms like QuickBooks Online

3. User Accounts

To use our Services, you must:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us of any unauthorized access
• Be responsible for all activities under your account
• Be at least 18 years old

4. User Data and Content Responsibility

You retain ownership of all documents and information uploaded to the platform. ScribeosAI processes this data solely to provide and improve the Services. Specifically:

• You grant us a limited license to use your data to provide the Services
• We do not claim ownership of your data
• We will not use your documents to train our AI systems without explicit permission
• You may request deletion of your data at any time
• We may retain certain information as required by applicable laws even after a deletion request
• You are responsible for ensuring you have the right to share any data you upload

5. QuickBooks Integration

When you connect QuickBooks, you:

• Authorize ScribeosAI to access your accounting data via Intuit's secure API
• Understand that this access is limited to synchronization functions you initiate
• Acknowledge that temporary data may be cached to complete processing
• Agree to comply with Intuit's terms of service
• Can revoke access at any time through your account settings

5A. Third-Party Services

We are not responsible for the acts, omissions, or service quality of third-party providers integrated with our Services. Your use of third-party integrations is governed by their respective terms. We make no warranties regarding the accuracy, functionality, or availability of any third-party service integration.

6. Payment Terms and Subscription Plans

ScribeosAI offers various subscription plans with different features and capabilities. Current plan details, including pricing, document limits, retention periods, and feature availability can be found on our website.

Auto-renewal & Cancellation

Subscriptions automatically renew unless canceled before the renewal date. You may cancel anytime through your account settings or by contacting support. If you cancel, you will continue to have access to the Services until the end of your current billing period, but you will not receive a refund for any fees already paid.

7. Acceptable Use and Prohibited Content

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload harmful or malicious content
• Attempt to gain unauthorized access to our systems
• Use the Services for any illegal purpose
• Upload sensitive personal data without proper authorization

8. Termination and Data Retention

• You may terminate these Terms by closing your account
• We may terminate or suspend your access for violations of these Terms
• Upon termination, you may request a copy of your data within 90 days
• We may retain certain information as required by applicable laws

Data Retention by Account Type

Data retention policies vary based on your account status:

• Active Paid Subscriptions: While your subscription is active and in good standing, your documents and processed data are retained without limits.
• Free Tier / Trial Accounts: Documents uploaded during the free tier or trial period are retained for 90 days. To retain documents indefinitely, upgrade to a paid plan.
• Cancelled Accounts: Upon cancellation of your subscription, your data will be retained for 90 days to allow for account reactivation or data export. After this period, you may lose access to your data and/or your data may be permanently deleted. You may reactivate your subscription at any time during the 90-day period to retain access to your data.
• Failed Payment / Suspended Accounts: If your payment method fails or your account is suspended for non-payment, you will have 30 days to resolve the issue. After 30 days, your account may be downgraded and data may be scheduled for deletion with prior notice.

8A. Confidentiality

Both parties agree to maintain confidentiality of all non-public information obtained in connection with the Services. ScribeosAI will treat your User Data as confidential and will not disclose it to third parties except as necessary to provide the Services or as required by law.

8B. Security and Breach Notification

ScribeosAI implements administrative, technical, and physical safeguards consistent with industry standards and GLBA requirements. In the event of a confirmed data breach affecting your account, we will notify you within 72 hours of confirmation, unless law enforcement requests a delay.

9. Disclaimers and Limitations of Liability

The Services are provided "as is" and "as available" without warranties of any kind. Our total liability for any claims related to these Terms or the Services is limited to the amount you paid for the Services in the 12 months preceding the claim.

ScribeosAI's infrastructure is hosted on Google Cloud Platform, which provides enterprise-grade redundancy and availability. However, ScribeosAI does not guarantee uninterrupted access or data availability and is not liable for data loss or service interruptions resulting from third-party infrastructure outages, including those affecting Google Cloud Platform. You are encouraged to maintain your own backups of critical documents.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, civil unrest, government action, labor strikes, power failures, or internet or telecommunications disruptions.

Survival

Sections relating to intellectual property, indemnification, limitation of liability, dispute resolution, confidentiality, and any other provisions that by their nature should survive termination shall survive the termination of these Terms.

AI Usage Limits

We may use aggregated, anonymized metadata (not documents or identifiable content) to improve system performance and security analytics. We will never use your actual document content to train our AI systems without your explicit permission.

10. Dispute Resolution

• We aim to resolve disputes informally
• These Terms are governed by the laws of the State of Georgia, USA
• Any dispute must be filed in courts located in Fulton County, Georgia
• Any claim must be filed within one year of the event

Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered in Atlanta, Georgia, under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator, and judgment on the award rendered may be entered in any court having jurisdiction thereof.

11. Changes to Terms

We may modify these Terms by posting updates. Continued use after changes constitutes acceptance. For material changes, we will make reasonable efforts to notify you.

12. Accessibility

We aim to make our Services accessible to users with disabilities and welcome feedback to improve accessibility. While we strive to ensure our Services meet accessibility standards, we cannot guarantee that all aspects of our Services will be accessible to all users.
